Terms and conditions

Welcome to Tazek BC Co. These Terms and Conditions define the expectations and agreements between Tazek BC Co. (“The Designer”) and you (“The Collaborator”). By engaging in any service with Tazek BC Co., you agree to these terms. These Terms are governed by the laws of Ontario, Canada, while accommodating collaborations globally.

1. Scope of SERVICES

Tazek BC Co. provides creative design services tailored to meet the unique needs of each collaborator. Our expertise includes branding, graphic design, social media graphics, print materials, digital advertisements, packaging design, and other custom creative projects. Each project begins with an agreed-upon proposal that outlines the specific scope of work, deliverables, and timelines.

The scope of work will be clearly defined before the commencement of the project. Any additional requests beyond the agreed scope may require a new agreement and may incur additional fees. This ensures transparency and allows us to maintain the highest quality standards in delivering your vision.

While we are dedicated to supporting your creative needs, it’s important to note that our services do not include:

  • Social media management (e.g., scheduling posts, community engagement, or analytics tracking).
  • Printing services (though we can recommend trusted vendors).
  • Trademark registration, copyright filings, or legal consultations related to intellectual property.
  • Design work that violates copyright laws, ethical standards, or industry best practices.

If you have additional needs or questions about whether your project aligns with our services, feel free to reach out. We are happy to clarify the scope, accommodate where possible, or recommend trusted professionals for related services.

2. Payment Terms

For projects under $75, full payment is required upfront before any work begins. For all other projects, a 50% deposit is required to secure the project start, with the remaining 50% due upon completion and prior to the final delivery of assets.

Invoices are issued with Net 30 payment terms, meaning the Collaborator agrees to remit the remaining balance within 30 calendar days of the invoice date. Failure to adhere to this timeline will result in additional charges, including a 5% late fee for every 7 days past the due date, applied to the outstanding balance until payment is received in full.

Payments can be made via e-transfer to payments@tazekbcco.ca, credit card (subject to a 2% processing fee), or cheque. Tazek BC Co. reserves the right to suspend or terminate ongoing projects if payments are not received within the agreed timeframe.

3. Revision Policy

Tazek BC Co. includes up to two rounds of revisions per deliverable in each project to ensure the final design aligns with the Collaborator’s vision. Revisions are defined as refinements or adjustments to the existing design within the original project scope.

Small Changes (Included in Revisions):

  • Adjustments to colors, fonts, or layout elements.
  • Revisions to text placement or minor content updates.
  • Tweaks to sizing or alignment for better visual balance.
  • Adding or removing small design elements, such as icons or background details.

Complete Overhaul (Not Included):

  • A fundamental change to the design concept, style, or overall direction.
  • Introducing a new vision, branding strategy, or design scope outside of the original brief.
  • Replacing significant portions of content or requesting an entirely new layout or format.
  • Requesting deliverables that were not part of the original agreement (e.g., additional assets or variations).

Additional Revisions:

Revisions beyond the included two rounds will be billed at $40/hour. Substantial changes to the project scope may require a new agreement and additional fees. Feedback and revisions must be submitted within the agreed timeline to maintain project deadlines. Delays in providing feedback may result in extended timelines and additional costs.

4. Communication Policy

To ensure clear and effective communication, all inquiries, requests, and project-related correspondence must be submitted via email to inquiry@tazekbcco.ca. Requests sent via text, WhatsApp, direct messages on social media, or other informal channels will not be processed. This policy helps maintain organization and ensures all communications are documented for reference.

Acknowledgment of Inquiries:

  • Emails will be acknowledged within 1 business day of receipt during operating hours.
  • For time-sensitive matters, please indicate “Urgent” in the subject line for prioritization.

Business Operating Hours:

  • Monday to Friday: 7:30 AM – 10:30 AM (EST)
  • Saturday: Not Available
  • Sunday: 12:00 PM – 5:00 PM (EST)

Responses sent outside of operating hours will be addressed the next business day. Collaborators are encouraged to plan communications accordingly to align with these hours to avoid delays.

Project Updates and Feedback:

Collaborators are expected to respond to project updates and feedback requests within the agreed-upon timeline to avoid delays in the project’s completion. The Designer will communicate updates and revisions as per the agreed project schedule.

Urgent requests made outside of standard operating hours may be subject to additional fees and are not guaranteed to be addressed immediately unless previously arranged.

Late Communication Policy

Timely responses are crucial to maintaining project timelines and meeting deliverables.

Delays in Feedback or Responses:

  • If feedback, materials, or approvals are delayed beyond 7 calendar days, Tazek BC Co. may place the project on hold.
  • A reactivation fee of $50 may apply to resume the project after extended delays.

Prolonged Periods of Inactivity:

  • If there is no communication from the Collaborator for 12 calendar days or more, Tazek BC Co. reserves the right to terminate the project. In such cases:
  • The deposit will be retained, and billing for completed work will apply.
  • A new agreement may be required to restart the project, subject to current availability and pricing.

How to Avoid Delays:

  • Ensure all required materials are provided at the start of the project.
  • Respond to feedback requests within the agreed project timeline.
  • If you anticipate delays, notify us as soon as possible to adjust expectations.

5. Project Timelines and Deadlines

Timelines will be outlined in the initial agreement and depend on timely feedback and materials from the Collaborator. Delays caused by late responses or incomplete materials may result in extended deadlines and additional fees. If delays exceed 14 calendar days, Tazek BC Co. may suspend the project and require a reinstatement fee to resume.

6. Pricing Updates

Tazek BC Co. regularly reviews and updates its service pricing to reflect the value and expertise provided. Pricing changes will be communicated in advance and applied to new projects or ongoing agreements, as applicable.

7. Intellectual Property

Ownership of all final design files is transferred to the Collaborator upon receipt of full payment. Until full payment is received, Tazek BC Co. retains ownership of all design work. The Designer reserves the right to showcase completed projects in portfolios, promotional materials, or on the company website unless explicitly agreed otherwise.

Trademarks and Legal Responsibility:

Tazek BC Co. provides design services only and is not responsible for securing trademarks, copyrights, or other intellectual property registrations for designs delivered. It is the Collaborator’s responsibility to consult a legal professional to confirm the originality and legal viability of any design for trademark purposes.

The Designer shall not be held liable for any disputes, claims, or legal actions arising from trademark issues following the project’s completion. The Collaborator assumes full responsibility for ensuring that the final design complies with all applicable trademark and intellectual property laws.

8. Project Timelines and Deadlines

9. Cancellation Policy

Cancellation by the Collaborator:

If a project is cancelled after work has commenced, you will be billed for the work completed up to that point, along with any non-refundable expenses incurred by Tazek BC Co.

For projects canceled before commencement, the deposit may be retained to account for the time spent on planning, scheduling, and administrative preparations. Exceptions may be considered on a case-by-case basis at the discretion of Tazek BC Co.

Cancellation by Designer:

In the rare event that Tazek BC Co. must cancel a project due to unforeseen circumstances, a prorated refund will be issued for any incomplete work.

10. Liability

Tazek BC Co. is committed to delivering quality design work but cannot be held liable for indirect, consequential, or unforeseen damages arising from the use of its services. The Designer’s total liability will not exceed the total amount paid for the project.

11. Confidentiality

Both parties agree to keep all shared information confidential and not disclose it to third parties without prior written consent. This includes proprietary business information, project materials, and any sensitive data provided during the collaboration.

12. Force Majeure

Tazek BC Co. will not be held liable for delays or failure to fulfill obligations due to events beyond its control, including natural disasters, government actions, technical failures, or other unforeseen circumstances. In such cases, both parties will agree on revised timelines or possible termination terms.

13. Indemnity Clause

The Collaborator agrees to indemnify and hold harmless Tazek BC Co. from any claims, damages, or legal disputes arising from the use of content provided by the Collaborator, including but not limited to copyrighted materials, trademarks, or other proprietary elements.

14. Approval and Final Delivery

Final approval from the Collaborator is required before the delivery of assets. Once approved, any additional changes will be treated as new work and billed accordingly. Final assets will be delivered in agreed formats upon full payment.

15. Dispute Resolution

In the event of a dispute, both parties agree to resolve the matter through good-faith negotiations. If necessary, disputes will be mediated or arbitrated in accordance with the laws of Ontario, Canada. Both parties agree to mediation as a first step before pursuing legal action.

By engaging in a service with Tazek BC Co., you acknowledge that you have read, understood, and agree to these terms and conditions. These terms are subject to periodic updates to reflect the growth and improvement of Tazek BC Co. services.
